1. Provider and scope
The provider is R&R Spiele UG (haftungsbeschränkt), Emeranstraße 23, 85622 Feldkirchen, Germany, represented by Rieke du Toit.
These terms apply to Staedy website production and related implementation services. The accepted proposal, order confirmation or checkout description supplements these terms. If the documents conflict, the individually agreed project scope takes precedence.
Conflicting or supplementary customer terms do not become part of the contract unless we agree to them in writing.
2. Business customers only
Staedy is offered exclusively to entrepreneurs within the meaning of § 14 BGB, meaning natural or legal persons who act in the exercise of their commercial or independent professional activity.
Contracts with consumers within the meaning of § 13 BGB are not intended. By ordering, you confirm that you act in a business capacity and are authorised to commission work for the submitted website.
3. The service
Staedy identifies guest information that the customer’s website does not explain clearly and technical barriers that make the site harder to crawl, index or retrieve. We then implement and verify the agreed content and technical changes within the existing website.
The ordinary service may include website audit, evidence gathering from selected AI systems and published technical guidance, content strategy, copywriting, interface design, internal linking, metadata, structured information, crawler configuration, indexability and sitemap fixes, responsive implementation, private preview, revisions, publishing, verification or developer handoff. Only the items stated in the accepted order are owed.
Research is an internal production input, not the product itself. A separate investigation report, competitor report, monitoring dashboard or recurring measurement service is not included unless the accepted order expressly lists it.
Staedy does not provide legal, tax, clinical or accessibility certification and does not buy advertising placement or AI recommendations.
4. The agreed project
Before the contract is concluded, the order identifies the material project details, including:
- the hotel website and language or languages in scope;
- the pages, sections or content types to be produced;
- the website platform and intended publishing route;
- whether Staedy publishes directly or delivers a developer-ready handoff;
- the included review rounds and customer approval contact;
- the project price, payment schedule and expected timing.
Anything not listed is outside scope. A redesign, migration, booking-engine replacement, checkout change, custom application feature, ongoing maintenance or multilingual expansion is included only when expressly agreed.
5. Supported website platforms
Staedy supports WordPress, Shopify and Webflow, as well as custom websites that pass an initial technical and access review.
For WordPress, Shopify and Webflow, Staedy works with the customer’s existing theme, components, classes, content model and publishing controls where reasonably possible. We do not promise compatibility with every plugin, app, theme, page builder or legacy configuration.
For a custom website, Staedy first identifies the framework, repository or delivery route, existing component patterns and release constraints. Where suitable access is available, we implement in a staging environment or agreed codebase. Otherwise, we provide tested code, assets and placement instructions for the customer’s developer and reasonably support that handoff.
If a proprietary, unsupported, insecure or technically restricted system prevents direct implementation, the parties may agree a handoff route, revised scope or cancellation of the affected work. Staedy will not require a platform migration unless the customer separately commissions one.
6. Research and AI systems
Staedy may ask selected AI systems questions that prospective guests could ask and may review the answers and cited public sources. We may also audit crawler permissions, indexability, sitemaps, canonicals, redirects, structured information, internal links and other agreed technical factors. We use this evidence to identify gaps and prioritise useful changes.
AI answers are variable and can be incomplete or incorrect. Staedy therefore checks proposed factual claims against the customer’s website, material supplied by the customer and other appropriate sources. The customer must confirm any material hotel fact that is not reliably established before publication.
Staedy does not guarantee that an AI provider will cite, recommend or rank the customer, or that any answer will remain unchanged after publication.
7. Contract formation
The presentation of the service on the website is an invitation to request a proposal or submit an order, not a binding offer.
A contract is concluded when the customer accepts Staedy’s proposal or order confirmation and Staedy expressly accepts the order or confirms the required first payment. Electronic acceptance and email confirmation are sufficient.
8. Prices, VAT and payment
Staedy no longer sells this service as a fixed-price investigation. The one-off project price is determined by the agreed production scope, platform, access route, technical complexity, languages and publishing responsibility, and is shown before the contract is concluded.
Prices are stated exclusive of VAT unless expressly shown otherwise. The applicable VAT or reverse-charge treatment is shown in the proposal, checkout or invoice.
The accepted order states whether payment is due in full before work begins or in project stages. Unless otherwise agreed, invoices are due immediately. Staedy may pause work while an undisputed overdue amount remains unpaid.
Third-party costs—including themes, plugins, apps, fonts, photography, hosting, developer time, booking systems and platform subscriptions—are not included unless expressly listed.
Invoices are issued electronically. The customer agrees to receive invoices in electronic form.
9. Customer responsibilities
The customer will:
- provide accurate hotel, business and billing information;
- identify an authorised contact who can provide consolidated feedback and approval;
- provide necessary access, brand material and technical information in a timely manner;
- ensure that submitted copy, photography, fonts and other assets may lawfully be used;
- confirm factual claims, prices, policies, facilities and other operational details before publication;
- avoid sending guest, customer, patient or other unnecessary personal data;
- maintain appropriate backups and the ordinary security of its website and accounts.
Staedy may rely on information approved or supplied by the customer. Delays caused by missing access, feedback or confirmations extend the timetable by a reasonable period.
10. Website access and security
Where direct implementation is agreed, the customer will provide the least level of access reasonably required, preferably through a named temporary account with appropriate permissions and multi-factor authentication.
Staedy may refuse or pause access where credentials are shared insecurely, the environment appears compromised, the requested change creates a material security risk, or the customer cannot demonstrate authority over the website.
Staedy will not make domain, DNS, email, booking-engine, payment, checkout or destructive database changes unless they are expressly included and separately approved.
11. Preview, approval and publishing
Staedy ordinarily presents the work in a private preview, staging environment or comparable review format. The customer can inspect the copy, layout and material behaviour before publication.
Nothing is intentionally published to the live website without approval from the authorised customer contact. Approval confirms the customer’s acceptance of the presented content and design, including the factual hotel claims it contains.
If direct publishing is included, Staedy publishes the approved version using the agreed access route. If handoff is included, delivery occurs when the agreed code, assets and implementation instructions are made available.
Small differences caused by the live theme, browser, third-party plugin or responsive environment are not defects where the approved design remains materially intact and usable.
12. Revisions, changes and delays
The included review rounds are stated in the order. Feedback should be consolidated and relate to the agreed scope. Corrections of a defect do not count as a review round.
New pages, changed objectives, new languages, replacement brand systems, newly requested functionality and material changes after approval are additional work. Staedy will identify the effect on price and timing before carrying it out.
Dates are binding only when expressly described as binding. If a material delay becomes foreseeable, Staedy will explain the reason, the revised expectation and anything needed from the customer.
13. Third-party platforms and services
WordPress, Shopify, Webflow, hosting providers, booking engines, plugins, apps, code repositories and AI providers are independent third parties. Their names and logos do not imply sponsorship, certification or partnership with Staedy.
Staedy is not responsible for third-party outages, policy changes, security incidents, deprecated features or changes made by the customer or another service provider after delivery. Where such an event affects the agreed work before delivery, the parties will agree a reasonable alternative.
14. Rights of use
On full payment, the customer receives a non-exclusive, perpetual, worldwide right to use, modify and publish the customer-specific copy, layouts, code and implementation material delivered under the order for its own business and websites.
Pre-existing customer assets remain the customer’s property. Third-party assets remain subject to their own licences.
Staedy retains its pre-existing methods, tools, templates, reusable components, know-how and general production systems. Their inclusion in a deliverable does not prevent the customer from using the completed work as agreed.
15. Confidentiality and references
Both parties will keep non-public information received from the other confidential and use it only for the project. Private preview links and access credentials must be shared only with authorised people.
Staedy will not name the customer as a case study or publicly display the work before launch without express consent. Separate consent for a reference or case study can be withdrawn for future use.
16. Warranty and corrections
The statutory rights in respect of defects apply. If the delivered work materially differs from the agreed scope, Staedy is first entitled and obliged to correct it or complete the missing agreed work within a reasonable period.
If subsequent performance fails, is unreasonable or is refused, the customer may reduce the price or withdraw from the affected part of the contract in accordance with statutory law.
The following are not defects: a later change in AI answers or rankings; a change made by the customer or a third party; failure of an unsupported plugin, app or external platform; an unconfirmed factual claim withheld from publication; or a business outcome that was not expressly guaranteed.
Claims for defects become time-barred one year after acceptance or delivery of the affected work, except in cases of intent, fraudulent concealment or liability that cannot lawfully be limited.
17. Liability
Staedy is liable without limitation for injury to life, body or health, intent and gross negligence, an expressly given guarantee, fraudulent concealment and liability under the German Product Liability Act.
For slight negligence, Staedy is liable only for breach of a material contractual obligation. In that case liability is limited to the foreseeable damage typical for this type of contract and, in aggregate, to the fees paid under the affected order.
Any further liability for slight negligence is excluded, including liability for lost profit, lost savings, loss of goodwill or indirect and consequential damage.
The customer is responsible for maintaining current backups. Liability for loss of data is limited to the restoration effort that would have been required with properly maintained backups.
These limitations also apply in favour of Staedy’s legal representatives, employees and vicarious agents. Mandatory statutory liability and burden-of-proof rules remain unaffected.
18. Data protection
Personal data is processed as described in the privacy notice. For ordinary project administration, website review, research and production, Staedy acts as an independent controller.
If an agreed implementation requires Staedy to process personal data on the customer’s behalf beyond ordinary account and website administration, the parties will conclude an appropriate data processing agreement before that processing begins.
The customer must not provide guest, customer, patient, special-category or other unnecessary personal data.
19. Term and termination
The contract begins on acceptance and ends when the agreed work is delivered or published and all payments are settled. It does not renew automatically.
Any maintenance, monitoring or further production is a separate contract unless the accepted order expressly states otherwise.
If the customer cancels a project after work begins without a legal right to do so, Staedy may charge for work performed up to cancellation and non-cancellable third-party costs, up to the agreed project price. The right of both parties to terminate for good cause remains unaffected.
20. Governing law and final provisions
German law applies. The United Nations Convention on Contracts for the International Sale of Goods is excluded.
Where the customer is a merchant, a legal person under public law or a special fund under public law, the exclusive place of jurisdiction is Munich, Germany. Staedy may also sue at the customer’s general place of jurisdiction.
The contract language is English or German, as stated in the order. Where an agreed German and English version conflict, the German version prevails.
The terms accepted for an order continue to apply to that order. Later changes apply only to future orders unless both parties agree otherwise.
Should any provision be or become invalid, the validity of the remaining provisions is unaffected.
